Agreement to these Terms

These Terms of Use (“Terms”) govern your access to and use of Orbeno’s websites, applications, and related services (collectively, the “Service”). By creating an account, accepting these Terms, or using the Service, you agree to them. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Our Privacy Policy explains how we collect, use, and protect personal information. It is part of these Terms.

Eligibility and accounts

  • You must be at least 18 years old and able to enter into a binding agreement.
  • You must provide accurate, current account information and keep it current.
  • You are responsible for safeguarding your sign-in credentials and for activity under your account.
  • You must promptly notify us at inquiries@orbeno.com if you believe your account has been accessed without authorization.

Using the Service

Subject to these Terms, Orbeno gives you a limited, non-exclusive, non-transferable, and revocable right to use the Service for your internal business purposes during the period your account is authorized to use it. The Service helps you organize feedback, manage follow-up work, and prepare response drafts. It does not replace your professional judgment.

You may not, and may not allow others to:

  • use the Service unlawfully, fraudulently, or in a way that violates another person’s rights;
  • interfere with, disrupt, probe, or bypass the security or access controls of the Service;
  • copy, modify, reverse engineer, decompile, or create derivative works of the Service except where law does not allow that restriction;
  • resell, rent, lease, sublicense, or make the Service available to an unauthorized third party; or
  • upload malware, deceptive material, or content you do not have the right to use.

Your content and connected platforms

You retain your rights in the information and content you submit to the Service or access through a connected account (“Your Content”). You give Orbeno a limited right to host, process, display, and transmit Your Content only as needed to operate, secure, and improve the Service for you and your workspace.

You are responsible for Your Content, for obtaining any required notices, permissions, and lawful basis to use it, and for the actions taken from your workspace. Do not submit patient health information, medical records, government identification numbers, or other sensitive information that the Service tells you not to provide. Orbeno is not a HIPAA-compliant service and does not offer a business associate agreement.

When you connect a third-party platform, you authorize Orbeno to access and process the data made available through the permissions you grant. Your use of each connected platform remains subject to that platform’s terms and policies. Orbeno is not responsible for a third party’s services, content, availability, or changes to its APIs, permissions, or policies.

AI-assisted features

The Service may generate summaries, analysis, suggested next steps, or reply drafts. These outputs can be incomplete, inaccurate, or unsuitable for your circumstances. You must review and approve any output before relying on it or sending it. You are solely responsible for the final content of anything you publish, send, or otherwise act on using the Service.

Plans, fees, and cancellations

If you select a paid plan, applicable fees, billing interval, and taxes will be presented to you before you complete a purchase. Paid plans include a 14-day no-card trial. You may cancel a paid subscription at any time; cancellation takes effect at the end of the current paid period. If you request it within 14 days after a paid period begins, we will provide a prorated refund for that period. If a payment fails or your subscription ends, access may be limited as described in the Service or at checkout.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms, pose a security risk, or use the Service in a way that could harm Orbeno, users, or others. We will use reasonable efforts to provide notice when practical. The handling of data after account or workspace deletion is described in our Privacy Policy.

Intellectual property and feedback

Orbeno and its licensors retain all rights, title, and interest in the Service, including its software, design, and content, except for Your Content. If you provide feedback or suggestions, you grant Orbeno a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation to you.

Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBENO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT RESULTS OR AI-ASSISTED OUTPUTS WILL BE ACCURATE OR RELIABLE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBENO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS. ORBENO’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO ORBENO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain disclaimers or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by applicable law.

Governing law and venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Except where applicable law requires otherwise, you and Orbeno agree that the state and federal courts located in Minnesota have exclusive jurisdiction and venue over any such dispute, and each party consents to the personal jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. For material changes, we will provide notice through the Service, by email, or by another reasonable means before they take effect. Your continued use after the effective date means you accept the updated Terms.
